Terms of Service
These terms apply to every use of 23 Studios. By making a studio you agree to them, and to the Data Processing Agreement at the end, on behalf of your business.
1. Who we are
23 Studios is a trade name of 23 Studios, a sole proprietorship registered in the Netherlands (Chamber of Commerce no. 67270689), Lange Lakenstraat 14, Haarlem, VAT no. NL002233718B55. You can reach us at hello@23studios.io. In these terms, "we" and "us" mean 23 Studios; "you" means the business that uses it (your "studio").
2. For businesses
23 Studios is made for videographers and other creative businesses. You use it as a business, not as a consumer, so consumer protection rules (such as the 14-day right of withdrawal) don't apply. The person who makes the studio confirms they may agree to these terms for the business.
3. What 23 Studios is
An online service to deliver films and photos to your clients on pages in your own style, sell extras, keep track of couples and leads, and send emails and automations. What's in each plan, and its storage, is shown on the pricing and billing pages. We keep improving 23 Studios, so features can change; we won't remove a main feature of your plan during a period you already paid for.
4. Your account
- Every plan has one seat (one person logging in); Enterprise is agreed separately.
- Keep your login safe. Everything done with your account counts as done by you. We recommend two-step login.
- Tell us straight away if you think someone else got into your account.
5. Free trial
A new studio can try 23 Studios free for 30 days, without a card. When the trial ends without a plan, the studio becomes read-only (see section 9).
6. Prices and payment
- Prices are in euros and exclude VAT. They're paid in advance, per month or per year, through Mollie.
- Your plan renews by itself at the end of every period, until you cancel.
- We can change our prices. We email you at least 30 days before; the new price applies from your next period. If you don't want that, cancel before then. A discount we agreed with you (for example as a tester) stays as long as you keep your plan.
- You get an invoice for every payment in Billing.
7. Cancelling
You can cancel at any time in Billing. Your plan then runs until the end of the period you paid for (the month, or the year for a yearly plan) and isn't renewed. We don't refund the rest of a period, including a yearly plan cancelled halfway.
8. Payments that fail
If a payment fails or is reversed, we let you know and try again. If it's still open after 14 days, your studio becomes read-only until it's paid. If it stays unpaid, section 9 applies from that moment.
9. When a trial or plan ends
- Your studio becomes read-only: you can still log in, look around and export everything, and your couples' pages stay online. Uploads, emails, automations and integrations are paused.
- After 90 days read-only we may remove the studio: pages go offline and all films and details are deleted. We email you 30 days and 7 days before, and never remove a studio we haven't warned.
- Choose a plan before then and everything comes back as it was.
- You can also delete your account and studio yourself at any time (Account › Data & account › Delete account).
10. Your content
- Everything you upload or write (films, photos, texts, details of your clients) stays yours. You give us only the permission needed to store it, process it (for example making smaller copies of photos) and show it to the people you share it with, so we can provide 23 Studios. We don't use it for anything else and don't show it to others.
- You make sure you're allowed to upload and share it: the music in your films, the consent of the people in them, and the details of your clients.
- When your studio is removed, we delete your content. Copies in our providers' backups disappear on their normal backup cycle.
11. Fair use
- 23 Studios is for delivering your work to your own clients and for running your business. It isn't a general file-sharing service: don't use it to send files that have nothing to do with your work.
- Nothing unlawful: no content that infringes someone's rights, no harmful software, no attempts to get into other studios' data or to overload the service.
- Your storage is what your plan includes, plus any extra storage you buy.
If a studio breaks these rules, we may pause the part that does (for example sending emails) or the studio. Where we can, we tell you first and give you a chance to fix it.
12. Emails you send
Emails to your couples and leads go out in your name. You're responsible for what you send and for having the right to send it (for example consent for newsletters). If emails bounce or are marked as spam a lot, we may pause sending to protect everyone's delivery.
13. Forms on your website
- You can build your own forms in 23 Studios and put them on your website or share their link. What people send through them comes in as leads in your studio. For their details you're the controller (see the Data Processing Agreement), and you're responsible for what your forms ask.
- A form only goes live once you've confirmed your email address and added a link to your own privacy policy; visitors tick that they agree to it before they can send.
- Forms may only be used to hear from your own (future) clients. They may never be used to ask for passwords, login or verification codes, bank, card or payment details, ID numbers or other sensitive details, or to pretend to be someone else. Forms don't take files.
- Every form shows your studio's name and a link for visitors to report misuse. When a form is reported or we see misuse, we may take it offline straight away, and tell you. Serious or repeated misuse can end your account.
- Forms are protected against spam with invisible checks and an automatic human check. To keep 23 Studios from being used to send emails to people who didn't ask for them: one email address gets at most one automatic email a day through your forms, and when many new leads come in within an hour, automatic emails wait until you've looked.
- We do our best to take in every request and notify you of each new lead, but we can't guarantee that nothing is ever lost (for example during an outage); sections 15 and 16 apply.
14. Payments from your clients
When your couples pay for extras on their page, they pay you directly through your own Mollie account (or, outside Europe, your own Stripe account). We're not part of that sale and take no share of it. You're responsible for those sales, your prices, VAT and any refunds to your clients.
15. Availability and support
We do our best to keep 23 Studios available at all times and to fix problems quickly. Planned maintenance is announced when it could get in your way. We don't promise a fixed percentage of uptime and don't give credit for downtime. For help, email us; we usually reply within one working day.
16. Liability
- Our total liability to you is never more than what you paid us in the 12 months before the event that caused the damage.
- We're not liable for indirect damage, such as missed revenue, lost profit or damage to your reputation.
- Keep your own copies of your films: 23 Studios is for delivering, not your only archive.
- These limits don't apply to damage caused by our intent or deliberate recklessness.
17. Privacy
For the personal details of your clients and leads that you put in 23 Studios, you are the controller and we are the processor; the Data Processing Agreement below applies. How we handle your own details is in our Privacy Policy.
18. Changes to these terms
We may change these terms. We email you at least 30 days before a change that matters to you; if you don't agree, you can cancel before it applies. The current version is always on this page.
19. Law and disputes
Dutch law applies. Disputes go to the competent court in the district where 23 Studios has its registered office. We'd always rather solve it together first, so please email us.
Appendix: Data Processing Agreement
This agreement (in Dutch: verwerkersovereenkomst) is part of the Terms of Service. It applies to personal data you, the controller, put in 23 Studios, which we, the processor, process for you (GDPR article 28).
A. What we process, and why
- Whose data: your clients (couples), your leads (also those who fill in your forms), people who appear in your films and photos, and people who visit your pages.
- What data: names, email addresses, phone numbers, wedding date and venue, notes and other details you add, films and photos, orders and their payment status, and email activity (sent, opened, clicked).
- Why: only to provide 23 Studios to you: storing it, showing it on your pages, sending your emails and automations, and the features you use.
- How long: as long as you use 23 Studios, and until your studio is removed (Terms, section 9).
B. What we promise
- We process the data only on your instructions: the way you use 23 Studios and its settings are those instructions. We never sell it or use it for our own purposes.
- Everyone at 23 Studios who can reach the data keeps it confidential.
- We protect it with suitable measures, including: encrypted connections (HTTPS), the app and its database hosted in the EU, access only for those who need it, two-step login for our admin and available to you, private links for your clients' pages and files, and short-lived signed links to the files themselves.
- We help you when people use their rights (to see, correct or delete their data): you can do most of it yourself in 23 Studios, including exporting everything.
- If we discover a data breach that affects your data, we tell you without undue delay, and within 48 hours, with what we know, so you can meet your own obligations.
- When your studio is removed, we delete the data, unless the law requires us to keep it.
- On request, we give you the information you need to check that we keep this agreement.
C. Sub-processors
You allow us to use sub-processors for the following. Each has agreed to protect the data at least as well as this agreement asks.
| What for | Where |
|---|---|
| Hosting the app and its database | Germany (EU) |
| Storing films, photos and other files | EU |
| Sending emails | Ireland (EU) |
| Fonts on pages (the visitor's IP address) | Worldwide |
| Spam protection on forms (the visitor's IP address and browser details) | Worldwide |
The full list of sub-processors, by name, is in your account (Account › Data & account) and available on request. Where a sub-processor is a company outside the EEA, transfers are covered by the EU-U.S. Data Privacy Framework or the EU's Standard Contractual Clauses. We tell you at least 30 days before we add or replace a sub-processor; if you object, you can cancel before the change.
D. Your part
You make sure you're allowed to put the data in 23 Studios and to have us process it (a legal basis under the GDPR), and you tell the people concerned what you do with their data.
